AMC Entertainment Inc. Announces $325.0 Million Debt Offering

LEAWOOD, Kan.--(BUSINESS WIRE)-- AMC Entertainment Inc. (“AMC” or the “Company”) announced today that it is proposing to issue $325.0 million aggregate principal amount of senior subordinated notes due 2022 (the “Notes”) in a private offering that is exempt from the registration requirements of the Securities Act of 1933, as amended (the “Securities Act”).

The Company intends to use the net proceeds from this private offering, together with a portion of the net proceeds from the initial public offering of the Company’s parent, AMC Entertainment Holdings, Inc., to pay the consideration and any consent payments for the tender offer to purchase all of the Company’s outstanding $600.0 million aggregate principal amount of 8.75% Senior Notes due 2019 and consent solicitation previously announced by the Company on January 15, 2014.

The Notes are being offered only to qualified institutional buyers in reliance on Rule 144A under the Securities Act, and outside the United States only to non-U.S. persons pursuant to Regulation S. The Notes will not be registered under the Securities Act or any state securities laws and, unless so registered, may not be offered or sold in the United States absent an effective registration statement or an applicable exemption from registration requirements or a transaction not subject to the registration requirements of the Securities Act or any state securities laws.
