AMC Entertainment Holdings, Inc. Announces Proposed Private Offering of USD and GBP Senior Subordinated Notes

LEAWOOD, Kan.--(BUSINESS WIRE)-- AMC Entertainment Holdings, Inc. (NYSE: AMC)(“AMC” or “the Company”) announced today that it intends to offer, subject to market and other conditions, $475 million in aggregate principal amount of dollar-denominated senior subordinated notes due 2027 (the “Dollar Notes”) and an additional £250 million aggregate principal amount of sterling-denominated 6.375% Senior Subordinated Notes due 2024 (the “Sterling Notes” and together with the Dollar Notes, the “Notes”) in a private offering that is exempt from the registration requirements of the Securities Act of 1933, as amended (the “Securities Act”). The Sterling Notes will be an additional issuance of the Company’s existing 6.375% Senior Subordinated Notes due 2024, that were issued on November 8, 2016.

AMC intends to use the net proceeds from this offering to finance the acquisition of Nordic Cinema Group Holding AB (the “Nordic Acquisition”), pay related fees and expenses and to use any remaining proceeds for general corporate purposes. In the event the Nordic Acquisition is not completed on or prior to June 30, 2017, AMC will be required to redeem the Notes at a redemption price equal to the initial offering price of the Notes plus accrued and unpaid interest to, but not including, the redemption date.
