On November 30, 2016, AMC Entertainment Holdings, Inc. (“AMC”) issued a press release announcing the closing of its previously announced acquisition of Odeon and UCI Cinemas Holdings Limited (“Odeon”) pursuant to that certain Share Purchase Agreement, dated as of July 12, 2016, by and among AMC, AMC (UK) Acquisition Limited, Monterey Capital III S.à.r.l., Odeon, Odeon and UCI Cinemas Group Limited, and certain Management Shareholders.  The press release is filed as Exhibit 99.1 hereto and incorporated by reference herein.
